Terms of Use

Information about us

This website and its tools (the "Service") are operated by Alyst ("we", "us", "our"). The Service is published at alyst.asia; the domains alyst.net and alyst.info redirect to it. These Terms of Use govern your access to and use of the Service.

Licence to use

We grant you a limited, personal, non-exclusive and non-transferable licence to access and use the Service for your own personal or internal business purposes. You may not reproduce, redistribute, resell or commercially exploit any part of the Service or its content except as expressly permitted.

Agreement between you and us

By accessing or using the Service, you agree to be bound by these terms. If you do not agree, do not use the Service. You must be at least 21 years old, or have the consent of a parent or guardian, to use the Service.

No professional advice

Alyst is not a law firm, accounting firm, audit firm, tax agent, corporate secretarial agent or filing agent, and is not regulated or licensed as any of them. No professional advice of any kind is rendered through the Service.

Nothing on the Service is, or may be relied upon as, legal, tax, accounting, financial, corporate secretarial or other professional advice. This applies to every part of the Service, including the guides, the deadline tracker, any checklist, template, worked example or answer to a frequently asked question, and any correspondence with us.

Your use of the Service does not create any professional, advisory, client, engagement or retainer relationship between you and us, and does not place us under any duty of care to you. We do not accept instructions, we are not engaged by you, and no such relationship arises however the Service is used or however often.

The people who write and operate the Service may have professional or industry backgrounds, and those backgrounds may be described on the Service. Nothing about the experience, qualifications, employment history or credentials of any person associated with Alyst creates an advisory relationship, constitutes the rendering of professional advice, or means that any statement on the Service has been given as professional advice. Information does not become advice because the person writing it has relevant experience.

The Service provides general information about corporate compliance in Singapore. It is written for a general audience and takes no account of your particular circumstances, which we do not know. Compliance obligations depend on the specific facts of your company and change over time, and content may become out of date without notice.

Before acting or refraining from acting on anything you read here, confirm the position with the relevant authority — including ACRA, IRAS, MOM and the CPF Board — or obtain advice from a qualified professional whom you have actually engaged. We are not responsible for any action taken, or not taken, in reliance on the Service.

Tools and the deadline tracker

The deadline tracker and any other tools generate estimated results from the information you enter, based on general statutory rules. Estimates may not reflect your particular circumstances, exemptions or later changes in the law, and must not be relied on as definitive. Always verify against your BizFile and myTax Portal records.

Editorial independence and service provider directory

Where the Service lists or links to third-party service providers, we act only as an information source. We do not endorse, recommend or guarantee any provider, the accuracy of their listing, or the quality of their services, and any engagement you enter into is solely between you and that provider. A listing is not a recommendation, and we are not party to and take no responsibility for any arrangement between you and a provider.

Where any part of the Service is sponsored, paid for or otherwise commercially supported, we identify it as such. Guidance content is not written to direct you to any particular provider.

Modification to terms

We may update these terms and the content of the Service at any time. The version and effective date above indicate when these terms were last changed, and earlier versions remain available on this site. Your continued use of the Service after changes take effect constitutes acceptance of the revised terms.

The Service may contain links to third-party websites, including government portals and Singapore Statutes Online, provided for convenience. We do not control and are not responsible for the content, policies or availability of those sites, and your use of them is at your own risk. A link to a source does not mean that source has been reproduced accurately, completely or currently on the Service.

Your privacy

Our handling of personal data is described in our Privacy Policy, which forms part of these terms.

No unlawful or prohibited use

You must not use the Service for any unlawful purpose, in any way that could damage or impair it, or to reproduce, scrape or exploit its content except as expressly permitted.

Liability disclaimer

The Service and its content are provided on an "as is" and "as available" basis, without warranty or condition of any kind. We do not warrant that the content is accurate, complete, current or fit for any purpose. To the maximum extent permitted by law, we exclude all warranties and all liability for any loss or damage — including any penalty, fine, composition amount, late filing consequence, tax liability or loss of profit — arising from your use of, or reliance on, the Service or its content.

Nothing in these terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence or for fraud, and any exclusion or limitation of liability applies only to the extent it is fair and reasonable under the Unfair Contract Terms Act 1977.

Termination

We may suspend, withdraw or terminate all or part of the Service, or your access to it, at any time and at our sole discretion, without notice.

General

Nothing in these terms creates any partnership, employment, joint venture or agency relationship between you and us. If any provision is found to be invalid or unenforceable, the remaining provisions continue in full force. We may disclose information where required to comply with any legal process or applicable law.

All content on the Service — including text, graphics, logos, and design — is owned by or licensed to us and is protected by copyright, trademark and other intellectual property laws. Using the Service does not transfer any intellectual property rights to you. Singapore legislation quoted or linked from the Service remains subject to the terms of Singapore Statutes Online.

Governing law and jurisdiction

These terms are governed by the laws of Singapore, and the courts of Singapore have exclusive jurisdiction to settle any dispute arising out of or in connection with them or the Service.
