Annual returns: the 20-minute filing guide
What s197 actually requires, what BizFile asks for, and the three fields founders get wrong.
Every Singapore company lodges an annual return with ACRA confirming who owns and runs it. A private company files within seven months of its financial year end, after holding its AGM or passing a written resolution. You will need your AGM date, approved financial statements or audit-exemption status, and an up-to-date register of members. Most small companies finish in under twenty minutes.
Every company registered in Singapore must lodge an annual return with ACRA. It is a snapshot of who owns and runs the company on a given date — not a tax filing, and not the same as your financial statements. Most owners of a small private company can complete it in under twenty minutes once the underlying records are in order.
Who has to file, and when
Under s197 of the Companies Act, a private company files its annual return within seven months after its financial year end; a listed company has five. If your financial year end is 31 Dec 2025, your annual return is due by 31 Jul 2026. The AGM, where one is required, must happen before you file.

What BizFile asks you for
The form is mostly confirmation. Company type and principal activities, registered office address and office hours, details of directors, the company secretary and any auditors, share capital and the register of members, and the date of the AGM or the written resolution that dispensed with it.
Update your register of members before you open BizFile. Share transfers filed out of order are the single most common reason a return gets rejected.
The three fields owners get wrong
- Financial statement status — a small company exempt from audit still declares its status; leaving it blank stalls the filing.
- AGM date when the meeting was dispensed with — if you passed a written resolution instead of holding a meeting, record that date, not a meeting that never happened. See AGMs you can hold by written resolution.
- Shareholding after a mid-year transfer — percentages must match the register on the return date.
Each is fixable, but each costs a re-lodgement fee.
Filing checklist
- Register of members reconciled to every share transfer this year.
- Financial statements approved, or audit-exemption status confirmed.
- AGM date or written resolution date recorded.
- Director, secretary and auditor particulars current.
- CorpPass access confirmed for whoever lodges the filing.
